Important Notice

HVAX is an assistive AI tool designed to help identify risks. It does not replace professional estimating judgment. You are solely responsible for your final bid, pricing, and contract execution.

These Terms of Service ("Terms") govern your access to and use of the HVAX service and related software provided by HVAX ("we", "us", or "our"). By accessing or using HVAX, you agree to be bound by these Terms.

1. Description of Service and Assistive Tool Disclaimer

HVAX provides pre-bid risk review software that uses artificial intelligence to scan bid documents and draft findings. You acknowledge and agree that:

  • HVAX is an assistive technology. It does not constitute and should not be relied upon as professional estimating, engineering, code compliance, or legal advice.
  • While we strive for high accuracy through our multi-step verification pipeline, we do not guarantee that all scope gaps, conflicts, or risks will be identified.
  • You remain entirely responsible for verifying all findings, executing your own due diligence, and determining your final bid pricing and scope.

2. Intellectual Property and Data Rights

  • Your Documents: You retain all ownership rights to the ITBs, drawings, specifications, and other materials you submit to HVAX ("Customer Data"). You grant us a temporary, limited license to process this data solely for the purpose of generating your report.
  • No AI Training: We explicitly agree that your Customer Data will never be used to train our AI models or the foundational models of our third-party AI providers (e.g., Anthropic).
  • Our Technology: HVAX retains all rights, title, and interest in the HVAX service, including its software, algorithms, pipelines, and branding.

3. Confidentiality

We understand that pre-bid documents contain highly sensitive trade secrets and pricing strategies. We agree to hold all Customer Data in strict confidence and will not disclose it to any third party, except to authorized subprocessors bound by strict confidentiality obligations necessary to provide the service. 4. Private Beta Status

HVAX is currently operating in a Private Beta phase. The service is provided on an "AS IS" and "AS AVAILABLE" basis. Features, performance, and functionality may undergo rapid changes. Any specific pricing, SLA, or delivery commitments during this phase are governed by your individual pilot agreement.

5. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall HVAX or its affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, lost bids, margin erosion, or data loss, resulting from your use of or inability to use the service. Our total aggregate liability for any claims arising out of these Terms shall not exceed the amount you actually paid us in the twelve (12) months preceding the claim.

6. Operator Identity and Governing Law

HVAX is a sole proprietorship owned by Raghav Sharma. These Terms shall be governed by and construed in accordance with the laws of Delhi, India, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Delhi, India.
